Prepared for review on October 18, 2026. Not yet effective. These are substantive draft provisions; attorney review and owner adoption have not occurred. Section-specific review notes identify decisions still required before publication.
Acceptance, scope and related policies
These terms describe the conditions proposed for use of AlphaRarri Music Distribution’s website and distribution services. They must be read with the Privacy Policy and Anti-Fraud & Anti-Theft Policy. This is a reconstructed local review version, not a notice that new terms have already taken effect or been accepted. A final version and lawful acceptance/notice process must be approved before reliance on it. A separately accepted artist/distribution agreement may contain service-specific rights and obligations; any conflict must be resolved under the applicable agreement and law.
Eligibility and accurate information
Use services only where you can lawfully do so and have capacity or valid authority to enter the applicable agreement. Representatives must have authority to act for the artist, label or rights holder concerned. Give accurate, current registration, identity, billing and release information and correct material inaccuracies. Do not register under another person’s identity or evade a valid account restriction.
Account security
Protect credentials and access granted to your account; do not share or use access without authorization. Notify support promptly about suspected compromise or unauthorized activity. The current public site links to the existing distribution dashboard; native AlphaRarri registration and OIDC SSO are not implemented here. These terms do not require you to disclose third-party passwords to AlphaRarri.
Distribution services and third-party platforms
AlphaRarri supports digital music distribution through its current distribution technology/service relationship with Vesta and relevant DSPs. Available services depend on the plan and agreements applicable to the release. DSPs and partners control their own acceptance, listing, availability, reporting and enforcement processes. Delivery is not a guarantee of acceptance, placement, streams, sales, chart position or revenue. No release date, processing deadline or promotional result is promised by these terms.
Ownership and authority to distribute
You retain ownership of your submitted content subject to rights held by others and the permissions you validly grant. You represent that you own or have the necessary rights, licenses, permissions and authority for the recordings, compositions, samples, beats, artwork, names, likenesses and metadata submitted for distribution or promotion. You are responsible for contributor agreements and permissions; submitting content does not cure an underlying rights defect.
Permission needed to provide the service
Distribution requires permission to process, reproduce, transmit, deliver and make submitted content available through the agreed services and partners. The scope of that permission must be set out in the artist/distribution agreement you accept. No transfer of ownership, perpetual blanket license, unrestricted derivative-work right or new exclusivity obligation is created merely by viewing this draft.
Website intellectual property
AlphaRarri branding, website material and third-party artwork remain subject to their respective intellectual-property rights. Browsing the site does not grant a right to commercially exploit another person’s music, artwork, marks or likeness. Do not copy or use protected material beyond the permission granted by its rights holder or applicable law.
Prohibited content and conduct
Do not submit stolen, infringing, unlawful, impersonating or materially misleading content. Do not manipulate metadata or monetization, generate artificial streams or clicks, use bots or stream farms, compromise accounts, interfere with the website or partners, harvest credentials or evade enforcement. Promotion suppliers engaged by you must not be authorized to perform prohibited activity. The Anti-Fraud & Anti-Theft Policy explains relevant review and enforcement principles.
Plans, fees, renewals, refunds and taxes
Before ordering, review the service selection, price, currency, billing frequency, renewal conditions and other terms presented in the existing onboarding/payment workflow and any applicable agreement. Pay charges you authorize and use only payment methods you are entitled to use. Taxes and other obligations apply only as required by law or disclosed under the applicable transaction terms. This draft does not establish a new refund rule, cancellation window or charge.
Royalties and revenue reporting
Royalty shares, accounting, payout eligibility and applicable deductions are governed by the selected service and accepted distribution agreement. DSP reports may be subject to corrections, disputes and lawful adjustments. No earnings guarantee or new payout threshold, percentage, schedule or fee is established by this reconstruction. Fraud-related holds, returns or recoupment require an appropriate contractual and legal basis as described in the Anti-Fraud & Anti-Theft Policy.
Delivery, changes and takedowns
Provide complete and accurate material in the format requested for the applicable service. Releases may require rights or quality review and may be rejected, corrected or removed under applicable partner requirements or law. Contact support about corrections or takedowns. Partner processing may continue after a request; do not assume immediate removal, preservation of identifiers or uninterrupted availability. These terms do not grant AlphaRarri unrestricted authority to alter creative content.
Suspension, termination and closure
Material breaches, infringement, unauthorized access, fraud or repeated violations may result in proportionate restrictions, suspension, termination or requests to remove affected content, subject to the applicable agreement and law. Protective action may be necessary where ongoing harm is suspected. Closure does not erase valid payment obligations, unresolved rights claims, lawful retention duties or rights that properly survive under the agreement.
Third-party services and availability
Stripe, Vesta, DSPs, Spotify and linked social services have their own applicable terms and privacy practices. Their inclusion does not promise availability of every feature or platform. Services may be interrupted or changed; any material change to purchased services must be handled under the applicable agreement and law. No new right to cancel paid services without appropriate notice or remedy is established here.
Disclaimers and limitations
The legacy terms described the website on an “as is” and “as available” basis. Subject to rights that cannot lawfully be excluded, no guarantee is made that the website will be uninterrupted or error-free or that distribution will achieve a commercial outcome. This does not exclude any mandatory consumer protection or liability that cannot be excluded.
Third-party claims and responsibility
The earlier terms and onboarding language address responsibility for third-party claims arising from unauthorized content and user wrongdoing. Users must not submit content without the necessary rights and must cooperate with appropriate rights investigations. Any duty to defend, indemnify or reimburse AlphaRarri must be expressly defined in the applicable approved agreement and limited by applicable law; this paragraph does not impose an uncapped new defense obligation.
Governing law and dispute resolution
The historical combined document named Texas law and also contained arbitration-related language inherited from broader Media Kiings/MKBNTV terms. This draft does not adopt a new governing-law clause, arbitration requirement, venue, class-action waiver or deadline. Contact support to raise a service dispute; existing applicable agreements and mandatory law continue to govern until an approved clause is adopted.
Changes and contact
An approved version will state an effective date. Changes to applicable terms require the notice or acceptance process required by the agreement and law; merely posting a draft is not consent.
